Terms of Service

These Terms of Service ("Terms") govern your access to and use of Pricendex (the "Service"), operated by Nanshua, Inc., a North Carolina corporation ("Pricendex," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to these Terms.

1. The Service

Pricendex monitors publicly available prices of competitor products you designate, alerts you when a competitor's price drops below your price, and, if you enable it, can automatically adjust your connected Shopify store's price according to a rule you configure (a fixed dollar or percentage response, subject to a price floor you set). Pricendex is designed for Shopify merchants and requires a Shopify store connection to import products or use the auto-adjustment feature; manually entered products do not require a Shopify connection.

2. Accounts

You must provide accurate information when creating an account and are responsible for activity under your account. An account belongs to an organization; the organization's owner is responsible for managing billing and member access. You must verify your email address before signing in with a password-based account.

3. Subscription, Trial, and Billing

Pricendex is offered as a single paid subscription plan, billed monthly through Stripe. New subscriptions include a 30-day free trial; a valid payment method is required at signup, and your card will be charged automatically at the end of the trial unless you cancel first. Each organization is eligible for one trial. You may cancel or manage your subscription at any time through the Stripe customer portal, accessible from your account's Billing page (billing management is restricted to the account owner). If your subscription lapses or payment fails, access to the Service will be suspended until the subscription is reactivated. See our Refund and Cancellation Policy for billing details.

4. Competitor Price Tracking; Your Responsibilities

You are solely responsible for the competitor URLs you add to Pricendex. By adding a URL, you represent that you have the right to monitor the pricing information displayed on that page and that doing so does not violate any agreement, law, or the target site's published terms of use. Pricendex checks each tracked URL's robots.txtfile before scraping it and will not access a page a site has disallowed for automated access; requests identify themselves with a distinct user agent. Pricendex is not responsible for the accuracy, availability, or legality of third-party pricing data, or for any consequence of your decision to track a particular competitor's page.

5. Shopify Integration and Automatic Price Adjustment

Connecting a Shopify store authorizes Pricendex to read your product and variant data and, if you enable auto-adjustment for a product, to update that product's price in your Shopify store according to the rule you configured. You control whether auto-adjustment is enabled per product and can disable it at any time. You are responsible for setting an appropriate price floor; Pricendex will not adjust a price below the floor you set, but is not responsible for losses resulting from a price change made under a rule you configured. Disconnecting Pricendex from your Shopify store must be done from your Shopify admin; Pricendex does not have the ability to revoke its own access token.

6. Acceptable Use

You agree not to:

• Use the Service to track URLs you do not have a legitimate business reason to monitor.
• Attempt to circumvent rate limits, robots.txt restrictions, or other access controls.
• Use the Service to violate any applicable law or a third party's rights.
• Reverse engineer, resell, or provide the Service to third parties as your own product.
• Interfere with or disrupt the integrity or performance of the Service.

7. Intellectual Property

Pricendex and its licensors own all right, title, and interest in the Service, including its software, design, and branding. You retain ownership of the product and pricing data you submit or import; you grant us a license to process it solely to provide the Service to you.

8. Termination and Account Deletion

You may delete your account at any time from the Account page. A member or admin leaving an organization removes only their own membership; an organization's owner deleting the account permanently deletes the organization, its tracked data, and its Stripe subscription for all members. We may suspend or terminate access for a violation of these Terms.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR UNINTERRUPTED AVAILABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRICENDEX AND NANSHUA, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOST SALES, ARISING FROM YOUR USE OF THE SERVICE, INCLUDING ANY PRICE CHANGE MADE THROUGH THE AUTO-ADJUSTMENT FEATURE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold Nanshua, Inc. harmless from any claim arising from your competitor-URL selections, your use of the auto-adjustment feature, or your violation of these Terms.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above; continued use of the Service after a change constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws principles.
